Terms of Service

1. Acceptance of Terms
By downloading, installing, or using the Diyo mobile application ("App") or visiting trydiyo.com ("Site"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and DiyoWater Inc., an Arizona corporation ("Diyo," "we," "us," or "our").
If you do not agree to these Terms, do not use the App or Site.
2. Description of Service
Diyo is a beverage discovery platform that allows users to browse and create drink recipes, scan ingredients using AI-assisted matching ("Mix AI"), discover local and regional beverage venues, follow creators and engage with community content, and save and organize favorite recipes and venues.
Diyo offers a free tier ("Explorer") and a paid subscription tier ("Diyo Premium") with enhanced features.
3. Eligibility
You must be at least 14 years of age to use Diyo. By using the App, you represent and warrant that you are at least 14 years old. Users under 18 must have parental or guardian consent to use the App.
Diyo includes informational content about cocktails and other alcoholic beverages. All alcoholic drink recipes are presented as informational content only. Diyo does not sell, distribute, or facilitate the purchase of alcohol. Users who indicate they are under the legal drinking age in their jurisdiction will not be shown alcoholic beverage content. Compliance with local laws regarding alcohol consumption is solely the user's responsibility.
4. User Accounts
You must create an account to access most features of the App. You are responsible for maintaining the confidentiality of your account credentials, all activity that occurs under your account, and providing accurate and complete information during registration. You must promptly notify us of any unauthorized use of your account.
5. User-Generated Content
Users may submit recipes, photos, comments, ratings, and other content ("User Content") to the App.
A. License Grant
By submitting, posting, uploading, or otherwise making available any User Content through the Services, you grant DiyoWater Inc. a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, distribute, and create derivative works of such User Content in any and all media or distribution methods now known or later developed.
B. Scope of License
You agree this license includes the right for DiyoWater to: (i) display, distribute, and promote User Content within the App, on the Site, and in promotional and marketing materials; (ii) analyze text, images, data patterns, and other information you provide to improve, develop, and operate the Services; (iii) use User Content for the training, development, and improvement of our machine learning and artificial intelligence models, including models that power features such as Mix AI; (iv) create aggregated, de-identified, or anonymized datasets derived from User Content for analytics, research, and product development; and (v) make User Content available to service providers and partners for purposes consistent with our Privacy Policy.
C. Your Representations
By submitting User Content, you represent that you own or have the rights to share the content and agree not to submit content that is illegal, harmful, deceptive, infringing, or violates any third party's rights.
D. Your Ownership
You retain all ownership rights in your User Content. Nothing in these Terms transfers ownership of your User Content to DiyoWater.
E. Content Removal
If you remove your User Content from the Services, the license granted above will terminate within a commercially reasonable time, except that: (i) DiyoWater may retain archival copies as required by law; and (ii) any use of User Content already incorporated into aggregated or de-identified datasets, trained AI models, or derivative works prior to removal shall continue to be licensed hereunder.
F. Content Moderation
Diyo reserves the right to remove any User Content that violates these Terms or our Community Guidelines at any time without notice.
G. No Compensation
You acknowledge that access to and use of the Services constitutes sufficient consideration for the license granted herein.
6. AI Features and Limitations
Diyo uses artificial intelligence to match ingredients you scan to existing recipes in our database ("Mix AI"), surface relevant content based on user preferences, and connect users with venues and creators relevant to their interests.
Important Disclaimers
(a) Diyo does NOT use generative AI to create recipes. All recipes in the App were created by human users.
(b) AI-powered recipe matches are suggestions provided for informational and entertainment purposes only. Diyo does not guarantee the accuracy, completeness, suitability, or safety of any recipe suggestion.
(c) You acknowledge that AI-generated matches may contain errors; cross-contamination, allergen, and dietary restriction information may not be fully reflected in recipe matches; and you are solely responsible for verifying all ingredients before preparation or consumption.
(d) Diyo's suggestions do not constitute medical, nutritional, or dietary advice. NEVER RELY SOLELY ON DIYO FOR ALLERGY, DIETARY, OR HEALTH SAFETY DECISIONS.
AI Training. By using the Services, you acknowledge and agree that Diyo may use anonymized, de-identified, and aggregated data derived from your use of the Services to train, develop, and improve its AI models. You may opt out of this use as described in our Privacy Policy.
7. Venue Information
Diyo features independently curated venue listings of local and regional businesses. National chains are excluded by design. Venue information may change without notice. Diyo makes reasonable efforts to maintain accurate venue data but does not guarantee accuracy. Listing on Diyo does not constitute an endorsement.
8. Advertising and Sponsored Content
A. The App may include advertising, sponsored content, or promotional materials ("Advertisements") provided by us or by third-party partners. DiyoWater reserves the right to introduce, modify, or expand Advertisements within the Services at any time.
B. If DiyoWater introduces Advertisements, we will provide at least thirty (30) days' advance notice through the App or email. DiyoWater may offer an ad-free experience through a paid subscription tier.
C. We may personalize Advertisements based on your activity, interests, and other information described in our Privacy Policy, where permitted by law. You can control certain uses of your information for personalized advertising in your in-app settings.
D. The inclusion of any Advertisement does not constitute an endorsement, guarantee, or recommendation by DiyoWater.
9. Subscriptions and Payments
A. Plans. Diyo Premium is available at $9.99/month or $79.99/year.
B. Billing. All payments are processed through the Apple App Store or Google Play Store. Diyo does not process payments directly.
C. Auto-Renewal. YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH BILLING PERIOD UNLESS YOU CANCEL AT LEAST 24 HOURS BEFORE THE END OF THE CURRENT PERIOD. You may manage your subscription and turn off auto-renewal at any time through your device's account settings.
D. Cancellation. Cancellation takes effect at the end of the current billing period. You retain access to subscription features until the end of the paid period.
E. Free Trials. If offered, any unused portion of a free trial period will be forfeited when you purchase a subscription.
F. Price Changes. DiyoWater may change subscription pricing upon at least thirty (30) days' advance notice.
G. Refunds. Refunds are handled by the applicable App Store in accordance with its refund policies.
10. Clean Water Mission
10% of Diyo's net subscription revenue (after platform fees) is allocated to clean water access initiatives through our partners Water for People and DigDeep. This is a voluntary business commitment, not a legally binding charitable trust or guarantee. Allocation percentages, partner organizations, and program details may change at DiyoWater's discretion.
11. Aggregated and Anonymized Data
A. DiyoWater may collect, create, use, and disclose Aggregated Data (de-identified, anonymized, aggregated data that cannot reasonably identify you) for any lawful business purpose, including analytics, trend reports, and licensing to business partners.
B. DiyoWater owns all right, title, and interest in Aggregated Data. Aggregated Data is not "personal data" or "User Content" as used in these Terms.
C. The creation, use, and disclosure of Aggregated Data does not constitute a sale of personal data under applicable privacy laws.
12. Prohibited Conduct
You agree not to use the App for any unlawful purpose; submit false, misleading, or fraudulent content; impersonate any person or entity; attempt to reverse engineer, decompile, or scrape data from the App; use automated tools or bots without prior written consent; harass, threaten, or harm other users; or attempt to gain unauthorized access to any part of the App.
13. Intellectual Property
The Diyo name, logo, swirl mark, and all App content created by Diyo are the intellectual property of DiyoWater Inc. User Content remains the property of the respective users, subject to the license granted in Section 5.
14. Termination
Diyo may suspend or terminate your account at any time for violation of these Terms, with or without notice. You may delete your account at any time through the App settings or by contacting support@diyowaterapp.com. Sections 5, 6, 11, 15, 16, 17, and 18 survive termination.
15. Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. DIYOWATER DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIYOWATER INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE APP. DIYOWATER'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS ACTUALLY PAID BY YOU TO DIYO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
17. Dispute Resolution — Binding Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
A. Agreement to Arbitrate. You and DiyoWater agree that any dispute, claim, or controversy arising out of or relating to these Terms, the App, or your use of the Services will be resolved exclusively through binding individual arbitration, rather than in court, except as set forth in Section 17(D).
B. Informal Resolution First. Before initiating arbitration, you and DiyoWater agree to attempt to resolve any Dispute informally for at least sixty (60) days. Send written notice to: DiyoWater Inc., Attn: Legal, 2652 E Hampton Lane, Gilbert, AZ 85295 or legal@diyowaterapp.com.
C. Arbitration Rules and Forum. Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. DiyoWater will pay all AAA fees for individual claims that do not exceed $75,000 in value, unless the arbitrator determines the claim is frivolous.
D. Exceptions. Either party may bring an individual action in small claims court; seek emergency injunctive relief; bring intellectual property claims in court; or bring issues to the attention of applicable regulatory agencies.
E. Class Action and Jury Waiver. YOU AND DIYOWATER AGREE THAT EACH MAY BRING CLAIMS ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. YOU AND DIYOWATER EACH WAIVE ANY RIGHT TO A JURY TRIAL.
F. Mass Arbitration. If twenty-five (25) or more similar arbitration demands are filed within a sixty (60) day period, these will be treated as a "Mass Arbitration" subject to AAA's Mass Arbitration Supplementary Rules.
G. Opt-Out. You may opt out of this arbitration agreement by sending written notice to legal@diyowaterapp.com within thirty (30) days of first accepting these Terms.
H. Severability. If any portion of this Section 17 is found to be unenforceable, the remainder shall continue to apply.
18. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of laws provisions. For any Disputes not subject to arbitration, you and DiyoWater consent to the exclusive jurisdiction and venue of the state and federal courts located in Maricopa County, Arizona.
19. Changes to Terms
DiyoWater may update these Terms at any time. We will notify users of material changes via email or in-app notification at least thirty (30) days before the changes take effect. Continued use of the App after changes take effect constitutes acceptance.
